Terms of Sale

These Terms of Sale (the "Terms") govern all contractual relations between the company Zerendi Investment SASU (hereinafter "Zerendi Studio" or "the Provider") and any natural or legal person (hereinafter "the Client") wishing to purchase the website creation services offered on the zerendi.cloud platform.

Any order placed on the platform implies full and unreserved acceptance of these Terms. Zerendi Studio reserves the right to amend them at any time; the applicable Terms are those in force on the date of the order.

Zerendi Studio is a fully automated platform for creating business websites. Based on a brief completed by the Client (description of the business, logo, photos, legal information, email), Iris, the AI agent, automatically generates a professional homepage, registers the domain name in the Client's name with Gandi, hosts the website on a global CDN through Netlify, and publishes it online once the Client has approved it and paid.

Services included in the basic offer (€149 excl. VAT)

• 2 homepage proposals generated by Iris, the AI agent
• Custom domain name registered with Gandi in the Client's name — included for the first year
• Global CDN hosting through Netlify — included for the first year, then €29 excl. VAT/year (Article 4)
• 1 professional mailbox (contact@yourdomain) through Zoho Mail — included for the first year, then €24 excl. VAT/year
• Automatic generation of the legal notice
• Automatic go-live after approval and payment
• A PDF preview of the 2 proposals sent before any payment

What is not included

• Ongoing maintenance and content updates (paid option at €99 excl. VAT/year)
• Creation of additional pages beyond the homepage
• Any bespoke development or advanced customisation not provided for in the options

All prices are stated in euros excluding VAT (excl. VAT). The applicable VAT is the rate in force on the date of the order (20% for mainland France). Prices are shown including VAT (incl. VAT) at checkout.

From the 2nd year onwards, keeping the website online requires an annual subscription of €29 excl. VAT (€34.80 incl. VAT), payable on the anniversary date of the order. Zerendi Studio contacts the Client before the expiry date to offer renewal and sends a payment link; no payment is taken without the Client's consent. This renewal covers:

• Renewal of the domain name (Gandi)
• Global CDN hosting (Netlify)
• The main professional mailbox (Zoho Mail)

The Client may decline renewal at any time by writing to contact@zerendi.cloud. This takes effect at the end of the annual period already paid for. The website remains online until that date.

If the subscription is not renewed, Zerendi Studio will contact the Client by email 30 days before the expiry date to offer to transfer their domain name to another registrar. If no reply is received within 30 days after the expiry date, the domain is released.

The Client may request further mailboxes by writing to contact@zerendi.cloud. Each mailbox is billed at €24 excl. VAT/year (€28.80 incl. VAT), paid in advance for 12 months. Deleting an additional mailbox at the Client's request takes effect immediately and erases its content.

An order is placed in several distinct steps:

1. Account creation on the zerendi.cloud platform.
2. Completion of the brief: description of the business, upload of the logo and photos, legal information, choice of domain name.
3. Automatic generation: Iris, the AI agent, produces 2 homepage proposals.
4. PDF preview: the Client receives by email a PDF presenting the 2 proposals, with an approval link.
5. Approval by the Client: the Client chooses the selected proposal and confirms the order by clicking the link.
6. Payment: payment is triggered via Stripe only after this explicit approval.
7. Automatic deployment: purchase of the domain in the Client's name (Gandi), deployment of the website (Netlify), creation of the mailbox (Zoho Mail), go-live.

The order becomes firm and final once the Client has clicked the approval link in the email and paid via Stripe. A confirmation email is sent automatically.

Payment is made exclusively online via Stripe, a secure payment provider. Accepted payment methods are Visa, Mastercard and American Express cards.

The Client's payment details are processed directly by Stripe and never pass through Zerendi Studio's servers. Zerendi Investment SASU does not store any card data.

Payment is due in full, in a single instalment, when the order is approved. If payment fails, the order is not recorded and the website is not published.

An electronic invoice is issued automatically after each confirmed payment and sent to the Client's email address.

The website goes live automatically within 24 business hours of payment confirmation. The deployment pipeline includes:

• Purchase of the domain name in the Client's name (Gandi) and DNS configuration
• Deployment of the website on the global CDN (Netlify)
• Creation of the professional mailbox (Zoho Mail)
• DNS propagation (between 15 min and 48 h depending on the registries)

As soon as the website is accessible online, the Client receives a delivery email including the URL of their website, their Client Area access details and the login details for their mailbox.

In the event of a delay of more than 72 hours attributable to Zerendi Studio, the Client may report it by email to contact@zerendi.cloud.

These provisions apply to any order that includes a domain name (website creation with Zerendi hosting, or the Hosting-only offer).

Registration in the Client's name

The domain name is registered with the registrar Gandi SAS (France), for one year, in the name of the Client, who is its holder, using the information the Client provided (identity, address, SIRET number or tax identification number). The Client warrants that this information is accurate. Zerendi Studio carries out the registration on the Client's behalf once payment is confirmed.

Gandi sends the Client an email to verify their address as the holder. The Client must click the link it contains within 15 days; otherwise, the registry may suspend the domain name. Zerendi Studio cannot be held liable for a suspension resulting from this verification not being completed.

Availability

The availability shown on the platform is checked with the registries at the time of the search and of payment. If the domain name is registered by a third party between payment and the actual purchase, Zerendi Studio informs the Client and refunds them in full; the Client may place a new order with a different domain name.

Renewal, non-renewal and transfer

The domain name is registered for one year. Zerendi Studio contacts the Client before the expiry date to offer renewal. If it is not renewed, the domain name expires on the expiry date and may then be registered by a third party; the website and, where applicable, the associated mailbox stop working. The Client may at any time request the transfer of their domain name to another registrar by writing to contact@zerendi.cloud: Zerendi Studio will provide the transfer code within a reasonable time.

The Hosting-only offer, available on the zerendi.cloud/en/hosting page, allows the Client to obtain a domain name and hosting for their own website, without any website creation by Zerendi Studio. The other articles of these Terms apply to it, subject to the specific provisions below.

Content and prices

• Domain name + hosting: €29 excl. VAT for 12 months (€34.80 incl. VAT in France): registration of the domain name (see the "Domain name" article), hosting on a global network with an HTTPS certificate, a holding page for as long as no website is published, and publication of the Client's website and its updates.
• Business email (option): €19 excl. VAT for 12 months (€22.80 incl. VAT in France): a contact@yourdomain address hosted by Zoho Mail. The Client creates their own password from their account; Zerendi Studio does not know it and has no access to the content of the mailbox.

Payment is made once and covers 12 months from the date of payment. The website goes live within 24 business hours of payment, as the domain name is purchased by the Zerendi Studio team, subject to DNS propagation (up to 48 hours).

Accepted websites

Only static websites are accepted (HTML, CSS, JavaScript, images, fonts, PDFs, videos), sent as a ZIP archive of no more than 20 MB containing an index.html file. The following are not accepted: applications that require a server (WordPress, PHP, databases), executable files, nested archives and server configuration files.

Content review before publication

To protect internet users and the reputation of the hosted domain names, each version of the website is reviewed before it is published: first by automated checks, then by Iris, our AI agent, and, in case of doubt, by a member of the Zerendi Studio team. The Client receives a reply by email: version approved, rejected (with the reasons) or under human review. Human review normally takes place within 24 business hours.

The following are rejected in particular: phishing pages or pages imitating a third party (bank, public authority, carrier, brand, etc.), collection of login details or bank details on behalf of a third party, scams, malicious or obfuscated code, cryptocurrency mining, unlawful content (counterfeiting, hate, violence, prohibited products or services) and sexually explicit content. The Client may correct their website and send a new version, or challenge a rejection made by Iris to obtain a human review. In the event of a rejection on serious grounds, payment for the order may be blocked until the team has made its decision. The number of analyses is limited to 10 per day per order.

The Client remains solely responsible for the content of their website and warrants that they hold all the necessary rights. The prior review does not constitute legal validation of this content. Zerendi Studio acts as a hosting provider within the meaning of Article 6 of French Law No. 2004-575 of 21 June 2004 (LCEN): any manifestly unlawful content may be reported to it at contact@zerendi.cloud, and Zerendi Studio reserves the right to remove without delay any content that is unlawful or contrary to these Terms, and to suspend the website concerned, without refund in the event of a serious breach by the Client.

Right of withdrawal

The purchase of the domain name in the Client's name constitutes performance of the service. A consumer Client expressly requests this immediate performance by confirming their domain name and paying, and acknowledges that they lose their right of withdrawal as soon as the domain name has been purchased (Article L221-28 of the French Consumer Code). As long as the domain name has not been purchased, a cancellation request sent to contact@zerendi.cloud gives rise to a refund.

End of the period

At the end of the 12 months, the offer may be renewed (see the "Domain name" article). Otherwise, the website is taken down, the mailbox is deleted along with its content, and the domain name expires. It is the Client's responsibility to back up their emails and files before the expiry date.

In accordance with Article L221-28 of the French Consumer Code (Code de la consommation), the 14-day right of withdrawal does not apply to services fully performed before the end of the withdrawal period, where performance began with the consumer's prior express consent.

By approving the order and making payment, the Client expressly acknowledges that performance of the service (generation of the website, go-live) begins immediately, and thereby waives their right of withdrawal.

However, if the website has not yet gone live at the time of the request, Zerendi Studio will consider any cancellation request on a case-by-case basis. Please contact us as soon as possible at contact@zerendi.cloud.

Business clients (B2B)

The right of withdrawal does not apply to orders placed in the course of a business activity. The order is firm as soon as payment is made.

Satisfaction guarantee

Zerendi Studio undertakes to provide a service of professional quality. If the Client is not satisfied with either of the 2 proposals generated, they may order a new batch of 2 proposals ("Regeneration" option at €19 excl. VAT) before paying for the main order.

Provider's liability

Zerendi Studio is bound by an obligation of means (best-efforts obligation), not an obligation of result. We cannot be held liable in the event of:

• Content provided by the Client that is inaccurate, unlawful or infringes the rights of third parties
• Unavailability of third-party services (host, registrar, DNS) beyond our control
• Service interruption due to maintenance or a force majeure event
• The commercial results or organic search ranking of the delivered website

In any event, Zerendi Studio's liability is limited to the total amount paid by the Client for the order concerned.

Client's liability

The Client is solely responsible for the content they provide (text, images, logo) and warrants that they hold all rights necessary for its use. The Client undertakes not to provide any unlawful or defamatory content, or content that infringes the rights of third parties.

Ownership of the delivered website

Upon payment in full of the order, the Client becomes the owner of the homepage generated on their behalf. The Client may use it freely, modify it or have it modified by a third party.

Zerendi Studio's right to cite the work as a reference

Zerendi Studio reserves the right to mention the creation of the Client's website as a commercial reference (portfolio, marketing communications), unless the Client expressly objects by email to contact@zerendi.cloud.

Ownership of the tools & platform

The zerendi.cloud platform, the Iris AI agent, the generation algorithms, the Zerendi visual identity and all their component elements remain the exclusive property of Zerendi Investment SASU. No licence to these elements is granted to the Client.

The processing of personal data collected in connection with the order is described in detail in our personal data policy, available in the Legal notice.

The Client's data (contact details, company information, content of the brief) are used exclusively for the performance of the contract and are never sold to third parties.

In accordance with the GDPR, the Client has the right to access, rectify and erase their data by writing to contact@zerendi.cloud.

These Terms are governed by French law. In the event of a dispute, the Client is invited to contact Zerendi Studio first at contact@zerendi.cloud in order to seek an amicable solution.

Mediation (consumer clients)

In accordance with Article L616-1 of the French Consumer Code, if a direct complaint is unsuccessful, a consumer Client may refer the matter, free of charge, to a consumer mediation service. Zerendi Studio is a member of the MEDICYS mediation service — www.medicys.fr — 73 boulevard de Clichy, 75009 Paris, France.

Jurisdiction (business clients)

In the event of a dispute between businesses, exclusive jurisdiction is conferred on the courts within the jurisdiction of the Court of Appeal of Pau (France), even in the case of multiple defendants or third-party claims for indemnity.
